NADH is the "reduced" form of NAD, which means that it carries added electrons (electrons are negatively charged, so they "reduce" the overall charge of the molecule). These electrons are used in a process that takes place in the mitochondria of your cells which enables the body to capture energy. So, I'd think you'd need NADH to get the benefits.
And, apparently, the enteric coating is necessary to allow the pill to bypass your stomach (which is very acidic and would destroy the molecule) and dissolve in your intestine instead, where the ingredients can be absorbed.
